Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by Stagify LLC ("Stagify", "Stagify.ai", "we", "us", or "our"), including stagify.ai, virtual staging, mask editing, AI Designer, PDF tools, Stagify+ subscriptions, enterprise domain plans, and related features (collectively, the "Service").

By creating an account, subscribing, uploading content, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" includes that entity.

1. Eligibility and Accounts

You must be at least 13 years old (or 16 in jurisdictions where that age applies) to use the Service. You must provide accurate registration information and keep your account credentials secure. You are responsible for all activity under your account.

You may register with email and password or, where available, Google Sign-In. You may not share account credentials, sell or transfer your account, or create accounts through unauthorized automated means.

We may refuse registration, reclaim usernames, or terminate accounts that violate these Terms or pose a security or legal risk. If we discover that an account is held by a user under the applicable minimum age, we will terminate the account and delete associated personal information in accordance with applicable law, including COPPA.

2. The Service and Plans

Stagify provides AI-powered virtual staging and related tools for real estate, design, and similar professional and personal uses. Features may vary by plan.

2.1 Free plan

The free plan may include limits on features, models, variations, or supported options compared to paid plans. We may change free-plan features, limits, or availability at any time.

2.2 Stagify+

Stagify+ is a paid subscription that unlocks additional features such as, where available: higher-quality image models, AI Designer, mask editing, multiple variations per generation, furniture reference uploads, and PDF floor-plan tools. Exact features are described on our pricing pages and may change over time.

2.3 Enterprise

Enterprise plans provide organization-level access (typically by email domain), usage-based or subscription billing, and may include custom terms negotiated separately. Unless a separate written agreement states otherwise, enterprise customers are also bound by these Terms.

2.4 Service changes

We may modify, suspend, or discontinue any part of the Service at any time, including features, models, limits, or availability. We will use reasonable efforts to avoid materially reducing paid features mid-billing period without notice, but we do not guarantee uninterrupted access.

3. Your Content and Ownership

3.1 Your uploads

"Uploads" means photographs, floor plans, PDFs, furniture images, masks, chat attachments, prompts, and other content you submit to the Service.

You retain ownership of your Uploads. Stagify does not claim copyright or ownership over your Uploads.

3.2 Generated output

"Generated Output" means virtually staged images, mask edits, AI Designer results, CAD renders, and other content the Service creates for you from your inputs.

You retain ownership of Generated Output as between you and Stagify, subject to applicable law and third-party rights. Stagify does not claim copyright ownership over Generated Output produced for you. You should be aware that AI-generated images may have limited or no copyright protection under applicable law depending on the degree of human creative input involved — this may affect your ability to assert copyright over Generated Output, and you should factor this into how you use it commercially.

3.3 License you grant to Stagify

You grant Stagify a limited, non-exclusive, worldwide, royalty-free license to host, store (temporarily), transmit, reproduce, and process your Uploads solely to provide, maintain, secure, and improve the Service, including sending content to our AI and infrastructure providers for inference. This license ends when your content is deleted from our active systems, except where longer retention is required by law or reasonably necessary for backups, security, billing, or dispute resolution.

3.4 Your responsibilities

You must have all necessary rights, licenses, and consents to upload content and to use Generated Output.
You are solely responsible for how you use Generated Output, including in property listings, marketing materials, and client deliverables.
You must comply with applicable laws, MLS and board rules, disclosure requirements, and the rights of property owners, tenants, and other individuals.
Do not upload content that infringes intellectual property, violates privacy, or depicts illegal activity.

3.5 No training on your content

We do not use your Uploads or Generated Output to train Stagify's own models. Content may be processed by third-party AI providers solely to deliver results to you, as described in our Privacy Policy.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation
Upload malware, attempt to gain unauthorized access, scrape or reverse engineer the Service, or abuse API or rate limits
Upload content you do not have the right to use, or that contains others' personal information without consent
Use the Service to generate deceptive, fraudulent, or misleading property representations
Use object-removal or editing tools to conceal, hide, or misrepresent the actual condition, defects, or features of a property (e.g., removing damage, hazards, or fixtures) in any listing or disclosure context
Resell, sublicense, or white-label the Service except through authorized enterprise or integration agreements
Interfere with other users' use of the Service or overload our systems
Circumvent plan limits, authentication, or billing controls

We may investigate violations and cooperate with law enforcement where required.

5. AI Features and Real Estate Use

The Service uses artificial intelligence. You acknowledge and agree that:

Generated Output is produced algorithmically and may contain errors, artifacts, unrealistic elements, or unintended alterations.
Generated output — including staging, object removal, and decluttering — does not represent actual property condition, furnishings, or finishes unless clearly disclosed as virtual staging. You are responsible for ensuring edited images do not omit or conceal material conditions where disclosure is required.
You are responsible for reviewing Generated Output before publication or client use.
AI output may not be unique and may be similar to output generated for other users.
The Service does not provide legal, architectural, engineering, appraisal, or professional staging advice.
Where required, you must disclose virtual staging or AI-generated imagery in listings and marketing in accordance with applicable rules.
You must ensure your use of Generated Output complies with the Fair Housing Act, applicable state fair housing laws, and anti-discrimination regulations governing real estate marketing. Do not use staging imagery to signal or suggest neighborhood demographics in a discriminatory manner.

6. Subscriptions, Billing, and Refunds

6.1 Stagify+ subscription

Stagify+ is billed as a recurring subscription through Stripe. Current pricing, trial terms, and billing intervals are shown at checkout (for example, a free trial period followed by a monthly subscription fee). By subscribing, you authorize Stripe to charge your payment method on a recurring basis until you cancel.

Linking payment to your account: For the best experience, sign in to your Stagify account before checkout so your subscription can be linked to the correct email address. If you subscribe with a different email than your Stagify login, contact team@stagify.ai for help linking your subscription.

6.2 Free trial

If a free trial is offered, you will not be charged until the trial period ends, provided you cancel before the trial expires. Trial eligibility, length, and terms are stated at checkout and may change. We may limit trials to one per person or payment method.

6.3 Automatic renewal

Unless you cancel before the end of the current billing period, your subscription automatically renews and you will be charged the then-current subscription fee. Prices may change; we will provide notice where required by law before price increases apply to your subscription.

6.4 Cancellation

You may cancel Stagify+ at any time through the Stripe Customer Portal ("Manage subscription" in your profile menu when signed in, or via the billing link provided by Stripe). Cancellation stops future charges but does not automatically delete your Stagify account.

After cancellation, you retain Stagify+ access until the end of the current paid billing period (or until the trial ends if cancelled during trial), unless otherwise stated at checkout. When the subscription ends, your account reverts to the free plan and paid features may become unavailable.

6.5 Refund policy

General rule: Subscription fees are generally non-refundable, including for partial billing periods, unused time, or unused generations, except where required by applicable law or as stated below.

Free trial: If you cancel during an active free trial before it converts to a paid subscription, you will not be charged for that subscription period.
Billing errors: If you were charged incorrectly due to a technical or billing error on our side, contact team@stagify.ai within 30 days of the charge. After verification, we may issue a refund or account credit at our discretion.
Duplicate charges: Verified duplicate charges will be refunded or credited.
Chargebacks: If you initiate a chargeback without contacting us first, we may suspend your account while the dispute is investigated. Fraudulent chargebacks may result in permanent termination.
Statutory rights: Nothing in these Terms limits mandatory refund or cancellation rights you may have under consumer protection laws in your jurisdiction. Where such laws apply, those rights prevail over conflicting terms in this section.
EU/UK 14-day right of withdrawal: If you are a consumer in the EU or UK, you may have a statutory right to withdraw from a subscription contract within 14 days of entering into it without giving any reason. However, when you start a Stagify+ subscription or free trial, you expressly request that we begin providing the Service immediately. By doing so, you acknowledge that if you exercise the right of withdrawal after the Service has begun, you may owe a proportionate amount for the portion of the subscription period already used. To exercise a withdrawal right, contact team@stagify.ai. This does not affect your right to cancel at any time under Section 6.4.
Promotional or gifted access: Complimentary or promotional Stagify+ access (including access granted through promotional links) is not eligible for cash refunds.

Refund requests: email team@stagify.ai with your account email, date of charge, and reason for the request. We aim to respond within 5–10 business days.

6.6 Taxes

Prices may exclude applicable taxes unless stated otherwise. You are responsible for any taxes, duties, or government charges associated with your purchase, except taxes based on Stagify's net income.

6.7 Payment processing

Payments are processed by Stripe. Your use of Stripe is subject to Stripe's terms and privacy policy. Stagify does not store full payment card numbers on its servers.

7. Enterprise Plans

Enterprise customers may receive access based on an approved email domain, custom checkout, or separate agreement. Enterprise billing may include subscription fees, usage-based metering, or both, as agreed at signup or in a written order.

The organization purchasing enterprise access is responsible for ensuring its users comply with these Terms.
Enterprise domain access does not transfer ownership of individual users' Uploads or Generated Output to the organization or to Stagify.
Aggregated usage reporting (such as generation counts per domain) may be provided to authorized administrators.
Enterprise refunds, cancellations, and custom billing terms may be governed by a separate agreement. If no separate agreement exists, Section 6 applies to the extent applicable.

8. Third-Party Services

The Service integrates with third parties including Google (Sign-In and Gemini AI), OpenAI, Stripe, email providers, and cloud hosting. Your use of those services may be subject to their separate terms. Stagify is not responsible for third-party services we do not control.

Authorized business integrations may access staging features through approved API credentials. Those integrators are responsible for their own end-user notices and compliance.

9. Intellectual Property

The Service, including its software, design, branding, logos, and documentation (excluding your Uploads and Generated Output), is owned by Stagify LLC or its licensors and protected by intellectual property laws. These Terms do not grant you any right to use Stagify trademarks except as necessary to use the Service in accordance with these Terms.

Copyright infringement notice: If you believe content on the Service infringes your copyright, send a written notice to team@stagify.ai that includes: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the infringing material and its location on the Service; (3) your contact information (name, address, phone, email); (4) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or law; (5) a statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf; and (6) your physical or electronic signature. We will review notices promptly and respond as required by applicable law.

Counter-notice: If your material was removed or disabled in response to a copyright notice and you believe the removal was made in error or that you have the right to use the material, you may send a counter-notice to team@stagify.ai including: (1) your physical or electronic signature; (2) identification of the material removed and where it appeared on the Service before removal; (3) a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification; (4) your name, address, and phone number; and (5) a statement that you consent to jurisdiction of the federal district court for your judicial district, and that you will accept service of process from the party that submitted the original notice. We will forward a valid counter-notice to the original complainant and may restore the material after the statutory waiting period if no court action is filed.

10. Suspension and Termination

You may stop using the Service at any time. You may request account deletion by contacting team@stagify.ai.

We may suspend or terminate your access immediately if you violate these Terms, fail to pay applicable fees, create legal or security risk, or if we discontinue the Service. Upon termination:

Your right to use the Service ends
Outstanding fees remain due
Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Stagify does not warrant that:

The Service will be uninterrupted, error-free, or secure
Generated Output will be accurate, complete, unique, or suitable for any particular listing or commercial purpose
Any specific staging result, quality level, or feature will always be available

Some jurisdictions do not allow exclusion of certain warranties, so some of the above may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGIFY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGIFY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STAGIFY FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Terms excludes or limits our liability for fraud or fraudulent misrepresentation, for death or personal injury caused by our negligence, or for any other liability that cannot be excluded or limited under applicable law.

Some jurisdictions do not allow limitation of liability for certain damages, so some of the above may not apply to you.

13. Indemnification

To the extent permitted by applicable law, you will defend, indemnify, and hold harmless Stagify and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your Uploads or use of Generated Output
Your violation of these Terms or applicable law
Your violation of any third-party rights, including intellectual property or privacy rights
Property listings, marketing, or client work that uses Generated Output

14. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of New York and applicable U.S. federal law, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence require otherwise.

Before filing a formal claim, you agree to contact us at team@stagify.ai and attempt to resolve the dispute informally within 30 days.

Except where prohibited by applicable law, you agree that any dispute not resolved informally will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

If you are a consumer in the EEA, UK, or another jurisdiction with mandatory local consumer dispute rules, you may also have the right to bring claims in your local courts.

15. General

Entire agreement: These Terms, together with the Privacy Policy and any order form or enterprise agreement that applies to you, are the entire agreement between you and Stagify regarding the Service and supersede any prior or contemporaneous agreements on that subject. Where you have signed a separate enterprise agreement with Stagify, that agreement controls to the extent it conflicts with these Terms.
Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later. A waiver is effective only if in writing.
Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, financing, or sale of assets. Any attempted assignment in violation of this section is void.
Force majeure: We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, and power, internet, or third-party service or infrastructure outages.
Notices: We may give you notices by email to the address associated with your account or by posting them within the Service. You may send notices to us at team@stagify.ai.
Relationship of the parties: Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and Stagify.
No third-party beneficiaries: These Terms do not create any rights for any third party, except as expressly stated.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" and "Effective date" at the top of this page. If changes are material, we will provide additional notice where required (such as by email or a notice on the Service). Continued use of the Service after the effective date constitutes acceptance of the updated Terms, to the extent permitted by law.
